Summary of changes
Expanded on updates to the Terms and determination of the applicable version of the Terms, and introduced further pricing options and models of conversion to subscription.
1.1. These Microblink Customer Portal Terms (hereinafter: “Portal Terms”) govern your use of the Customer Portal for the purpose of acquiring licenses for the use of Microblink Products. The use of Microblink Products is governed by the General Terms and Conditions for using Microblink technology (hereinafter: “General Terms”).
1.2. For the purpose of these Portal Terms, the term “Agreement” shall collectively refer to and encompass these Portal Terms, the General Terms, and any other document or policy referenced herein. This Agreement constitutes the entire understanding and agreement between the parties concerning the subject matter hereof and supersedes all prior and contemporaneous agreements, whether oral or written, between the parties relating thereto.
1.3. These terms may be modified from time to time, as indicated at the top of the document. By continuing the use of the License after the change of terms has been announced, it shall be considered that the Customer has read and accepted all new modifications to the terms and conditions of this Agreement.
1.4. In the event of any conflict or discrepancy between these Portal Terms and the General Terms, the provisions of these Portal Terms shall prevail.
2.1. All definitions set forth in the General Terms, whether explicitly stated or incorporated by reference, shall apply with equal force and effect to these Portal Terms. Any term not otherwise defined herein shall have the meaning ascribed to it in the General Terms.
2.2. Effective Date. For the purpose of these Portal Terms, the term “Effective Date” shall mean the date when the Customer clicked the “Subscribe” button on the Portal and accepted the Portal Terms.
2.3. The Licensee. For the purpose of these Portal Terms, the term “Licensee” shall refer to the Customer who made a purchase through Portal. Any rights, obligations, or responsibilities attributed to the Licensee shall apply to the entity identified as the “Customer” during the payment process. The individual clicking “Subscribe” warrants they are authorized to bind the Customer to this Agreement and accepts the Licensee’s responsibilities under the Agreement.
2.4. Microblink. For the purpose of these Portal Terms, Microblink means Microblink Ltd, 6th Floor 9 Appold Street, London, United Kingdom, EC2A 2AP.
2.5. Portal. The Portal is Microblink self-service platform where the Customer purchases a License for the use of Microblink products.
2.6. Unit. The Unit means the price unit by which the Customer’s License consumption is tracked and billed. For the purpose of Licenses purchased through Portal, the Unit is a Scan and means a single usage of the Product implemented within the Solution in which the end-user is scanning and extracting information from documents covered by this Quote. Any result will count as a Scan.
2.7. Quote. For the purpose of these Portal Terms, the Quote means the option selected by the Customer in accordance with Section 4 of these Portal Terms. The selected option will be confirmed by Microblink through the issuance of the invoice, detailing the terms and conditions of the purchase.
3.1. For the purpose of these Portal Terms, the Subscription refers to the annual use of the License, with payments being made in monthly installments. The Subscription will automatically renew unless terminated in accordance with the provisions outlined in Section 6 herein.
3.2. The Customer can manage and cancel its Subscription through an intermediary payment platform as outlined in Section 5.
4.1. The Customer may select from the options available on the Portal, each offering a specific quantity of Units at a predetermined price.
4.2. If the Customer desires to purchase a larger quantity of Units beyond those offered in the options available on the Portal, such arrangements must be made with the Microblink sales team. Such customized agreements shall automatically convert the Subscription, as defined herein, to a standard subscription-based License governed solely by the General Terms.
4.3. If the purchased Units are fully exhausted during the current month, the Customer must purchase additional Units or cease using the License.
4.4. In the event that the Customer incurs overages exceeding the initially purchased pricing option for two consecutive billing cycles, the Customer shall be automatically upgraded to a higher pricing tier in the subsequent month(s) according to the following calculations:
i) if the overages are up to 30% higher than the quantity of Units purchased with the previous pricing option, the Customer will be upgraded to a higher tier that includes 30% more Units than the previous pricing option. The Fee for the upgraded tier will be calculated as the Fee from the previous billing cycle, increased by 30%;
ii) if the overages are between 30% and 60% higher than the quantity of Units purchased with the previous pricing option, the Customer will be upgraded to a higher tier that includes 60% more Units than the previous pricing option. The Fee for the upgraded tier will be calculated as the Fee from the previous billing cycle, increased by 60%;
iii) if the overages are between 60% and 100% higher than the quantity of Units purchased with the previous pricing option, the Customer will be upgraded to a higher tier that includes 100% more Units than the previous pricing option. The Fee for the upgraded tier will be calculated as the Fee from the previous billing cycle, increased by 100%;
iv) if the overages are over 100% higher than the quantity of Units purchased with the previous pricing option, the Customer may be moved to a standard subscription-based License per Article 4.2. herein.
4.5. The Customer is obliged to pay the License Fee for as long as the Product is in use by the Customer.
5.1. Payments for the Licenses purchased on the Portal are processed through the intermediary payment platform, Stripe Inc.
5.2. The pricing option that the Customer selected on the Portal shall be confirmed by Microblink in the invoice delivered to the Customer.
5.3. The pricing option used by the Customer in the current month shall be automatically renewed for the following month and invoiced accordingly, unless the Customer modifies its selection prior to the billing date or cancels the Subscription before the end of the then-current month. Changes made after the billing date will be applied to subsequent billing cycles.
5.4. Notwithstanding anything contrary in Article 5.3, in case the Customer was upgraded to a higher pricing option pursuant to Article 4.4., the License shall be automatically renewed for the following month in the higher pricing tier, and the corresponding charges reflective of the upgraded tier’s pricing structure shall be applied.
5.5. All License Fees are due and payable immediately upon purchase made through Portal. Microblink shall issue License keys solely upon receiving the payment.
6.1. This Agreement will be terminated upon cancellation of the Subscription by the Customer, in which case the License shall remain active until the end of the then-current month. It is understood the Agreement will be automatically terminated with immediate effect if the Fees are not settled when due.
By clicking “Subscribe” and purchasing Licenses for use of Microblink Product through the Portal, you acknowledge that you have read, understood, and agree to be bound by the terms and conditions of this Agreement, including the General Terms or any other terms or policies referenced herein. If you do not agree to these Terms, you should not proceed with the purchase.
